Partner terms
These terms govern the KimberPlay partner and reseller program. Applying means you accept them; being approved means we do too.
1. What the program is
KimberPlay pays approved partners a commission on KimberPlay Plus software licenses purchased through their unique link. It is a referral arrangement and nothing more: it does not make you an employee, agent, joint venturer, or representative of KimberPlay, and it does not let you speak or contract on our behalf.
2. Approval, and how it ends
Participation is by application and approval. No link, code, or earning capability exists until an application is approved, and approval is discretionary. Either side may end the arrangement at any time, for any reason, with notice by email.
On ordinary termination, commission already confirmedis still paid. On termination for a breach of section 3, unpaid commission is forfeit — including commission that would otherwise have confirmed later.
3. What you must not do
You may not promote KimberPlay alongside pirated content, IPTV subscription services, channel lists, or any source of audiovisual content. This includes placing KimberPlay in the same video, page, post, description, link tree, Telegram channel, or Discord server as such an offering, and includes promoting KimberPlay as a way to access any specific content or service.
KimberPlay is player software. It supplies no channels, sells no subscriptions, and recommends no providers. That is not marketing language — it is the basis on which the product is lawful to sell, and a partner who blurs it in public damages something they do not own. Breach of this section ends the arrangement immediately and forfeits unpaid commission.
You also may not:
- fail to disclose the commercial relationship where disclosure is required — in the United States the FTC requires a clear, unavoidable disclosure such as
#ador “paid partnership”, and equivalent rules apply in the UK, EU, and elsewhere; - bid on “KimberPlay” or confusingly similar terms in paid search, or run ads that appear to come from KimberPlay itself;
- register domains, social handles, or app listings containing “KimberPlay” or a confusingly similar name;
- send unsolicited bulk email or messages, post to forums against their rules, or use any traffic source that pays, incentivises, or automates clicks or installs;
- state or imply anything about KimberPlay that is not true — including that it includes content, that it is affiliated with any broadcaster or service, or that it carries features it does not have;
- purchase through your own link, or arrange for others to route your own purchases through it;
- modify, repackage, or redistribute the KimberPlay application. Share the official download link; never a copy you host yourself.
4. Attribution and commission
A sale is attributed to you when the buyer reaches checkout carrying your code. The attribution cookie lasts 30 days. Where two partners could claim the same sale, the most recent code wins.
Commission is calculated on the list price of the license, before taxes and payment processing fees. Current rates and the volume tier are published on the partner program pageand may change with 30 days’ notice by email; a change never affects commission already confirmed.
Commission confirms 45 days after the sale, provided the license is still in good standing. Refunded, charged-back, and fraudulently purchased sales do not confirm, and if they are discovered after payment the amount is deducted from your next payout. We may withhold or reverse commission we reasonably believe to arise from fraudulent, incentivised, or self-referred traffic.
5. Payment
Confirmed commission is paid once your balance exceeds $50, by PayPal or Wise to the address you give us, in US dollars. Payment is made on request or approximately monthly. Balances under $50 roll forward.
You are an independent contractor and are responsible for your own taxes. If you are a US person and we pay you $600 or more in a calendar year, we are required to collect a Form W-9 and issue a Form 1099-NEC; payment may be held until that form is provided. Non-US partners may be asked for a Form W-8BEN. We do not store bank account numbers.
6. Resellers
Approved resellers may purchase license keys in advance at published bulk pricing and resell them at a price of their choosing. Bulk-purchased keys are non-refundable, are sold for resale to end users rather than for redistribution to other resellers, and earn no commission — the discount is the margin. Sections 3, 7, and 8 apply to resellers in full.
7. Trademarks and materials
You may use the KimberPlay name, logo, and screenshots to promote the product while the arrangement is live, unmodified and without implying endorsement of anything else. That permission ends when the arrangement does. We may ask you to correct or remove any specific material, and you agree to do so promptly.
8. Liability and changes
The program is provided “as is”. To the maximum extent permitted by law, KimberPlay is not liable for indirect or consequential losses arising from your participation, and our total liability is limited to commission confirmed and unpaid at the time of the claim. We may change these terms with 30 days’ notice by email; continuing to promote KimberPlay after that is acceptance.
